Article 3 (Description of the Service)

  1. The Service provides an information-processing environment for investigating, examining, and analyzing relationships between two Data Series from perspectives including statistical associations, temporal lead-lag relationships, predictive usefulness, and other relevant factors.
  2. Regardless of the statistical methods used by the Service, including Granger causality, or the names given to such methods, Analysis Results do not establish actual cause-and-effect relationships or causation in the real world.
  3. The Service provides an information-processing environment intended to assist with investment decisions, research, analysis, verification, and hypothesis formulation. The Service does not engage in investment advisory or agency services, investment management, financial instruments business, financial instruments intermediation, recommendations to buy or sell, investment solicitation, order execution, or order transmission under the Financial Instruments and Exchange Act of Japan.
  4. The Company does not recommend purchasing, selling, holding, subscribing to, redeeming, or taking any other investment action with respect to particular financial instruments, securities, currencies, indices, cryptoassets, commodities, investment strategies, or other trading instruments through the Service, Analysis Results, or Public Research.
  5. Users shall use the Service and Analysis Results at their own responsibility. When making investment, trading, business, accounting, tax, legal, compliance, or other decisions, Users shall independently conduct any verification they consider necessary.
  6. Specific features, supported Data Series, analytical methods, available periods, pricing plans, usage limits, and other conditions of use shall be governed by the information displayed on the Service, pricing pages, help materials, or other conditions separately established by the Company.

Article 4 (Accounts and Authentication)

  1. Users must log in or authenticate using a method designated by the Company to conduct new Analyses or use other features specified by the Company.
  2. Users shall provide truthful, accurate, and up-to-date information when registering for or logging into the Service.
  3. Users shall be responsible for managing their Accounts, authentication credentials, sessions, devices, browsers, and other aspects of their usage environment.
  4. Users shall not lend, transfer, share, sell, assign to another name, or pledge their Accounts, subscription eligibility, or access rights to the Service to any third party.
  5. To prevent Account sharing, unauthorized use, misuse of subscription eligibility, and other conduct that interferes with the proper operation of the Service, the Company may restrict simultaneous logins, use across multiple devices or browsers, or multiple sessions associated with the same Account.
  6. Actions performed using a User's Account or authentication credentials shall be deemed to have been performed by that User, except where such actions result from the Company's willful misconduct or gross negligence.

Article 5 (Fees, Plans, Usage Limits, and Payments)

  1. The Service may offer a free plan, paid plans, and other usage categories determined by the Company.
  2. Access to analysis and other product features under the CauseDecode Free plan requires valid consent to receive the xdecode newsletter (including product news and research updates). We will clearly disclose this condition on the registration screen or in another appropriate place.
  3. If that consent is absent or explicitly withdrawn and thereby expires, CauseDecode Free plan product features are unavailable. This condition does not, by itself, terminate a User's authentication account, an existing paid subscription, paid-equivalent benefits, access to Settings or subscription and billing management, or procedures required by law.
  4. Marketing email eligibility, unsubscribe processing, resubscription, and personal information handling remain subject to our Privacy Policy and applicable law.
  5. Fees, permitted usage volume, usage periods, contract terms, billing currencies, payment methods, renewal terms, cancellation terms, and other contractual conditions for each plan shall be governed by the information displayed on the Service, pricing pages, purchase screens, or other pages separately designated by the Company.
  6. If a paid plan is offered on a recurring billing basis, the contract will renew and applicable fees will be charged in accordance with the conditions displayed by the Company on the purchase screen or elsewhere unless the User cancels using the prescribed method.
  7. The Service may be subject to usage restrictions, including a limited number of Analyses per specified period. The method for counting usage, reset timing, treatment of failed Analyses, reanalysis, and other usage-related conditions shall be governed by the information displayed on the Service or separately provided by the Company.
  8. Contract status, authentication status, recurring subscription status, payment status, eligibility to use the Service, and other entitlement determinations may be managed by the Company or External Services designated by the Company.
  9. Users subscribing to a paid plan shall pay applicable fees using the method designated by the Company or its payment service provider.
  10. Users shall comply with the terms, policies, and procedures established by payment service providers, card issuers, financial institutions, and other applicable External Services.
  11. If a User changes a plan, cancels, reactivates, or performs another contractual operation, the effective timing, billing timing, available functions, available period, prorating, refunds, and other handling shall be governed by the conditions displayed on the Service or otherwise separately provided by the Company.
  12. Except where required by law or expressly stated otherwise by the Company, fees already paid are non-refundable.
  13. The Company may change fees, plan contents, usage limits, scope of functions, free allowances, or other contractual conditions. In such cases, the Company will notify or announce the change by posting it on the Service, by email, or by another method the Company considers appropriate.

Article 6 (External Services and Third-Party Data)

  1. The Service may integrate with External Services for purposes including authentication, payment processing, data acquisition, data storage, and email delivery.
  2. Use of External Services may be subject to the terms, policies, fees, restrictions, specifications, outages, suspensions, changes, and other conditions established by their respective providers.
  3. Rights, conditions of use, attribution requirements, storage restrictions, redistribution restrictions, and other conditions relating to market data, macroeconomic data, financial data, statistical data, and other third-party data acquired, displayed, saved, or analyzed through the Service shall be governed by the applicable conditions established by data providers, exchanges, third-party providers, or other rights holders.
  4. The Company may change, restrict, or suspend supported Data Series and the display, storage, updating, analysis, export, or other handling of data in response to contractual conditions, licenses, specification changes, discontinuation of services, rights-related matters, or other circumstances involving external data providers.
  5. Further details concerning external data sources used by the Service, data handling, attribution requirements, storage, and redistribution shall be governed by the Data Policy separately established by the Company.

Article 7 (Analysis, Analysis Results, Analysis History, and Saving Features)

  1. When a User conducts an Analysis, the Service generates Analysis Results based on the selected Data Series, analysis period, available data, analytical methods, system state, and other applicable conditions.
  2. Analysis Results may be available for later viewing through analysis history or other functions of the Service. Users may also be able to designate particular Analysis Results as saved items within the scope of functionality provided by the Company.
  3. Analysis history and other saving features do not guarantee permanent storage or perpetual availability of Analysis Results.
  4. The Company may make all or part of Analysis Results, analysis history, saved status, or other information unavailable, or may change the method, scope, or duration of storage, due to system failures, External Service failures, maintenance, specification changes, changes in data-provider conditions, termination of a contract, legal compliance, or other reasons.
  5. When using Analysis Results, Users shall independently review, as necessary, the underlying data, data sources, analysis period, calculation conditions, analytical methods, assumptions, limitations, data update status, and other relevant information.

Article 8 (Prohibited Conduct)

Users must not engage in any of the following conduct in connection with the Service:

  8. Except where expressly permitted by the Company, engaging in scraping, crawling, automated access, automated acquisition, reverse engineering, technical inspection or analysis, reproduction, modification, creation of derivative works, or similar technical use.
  9. Using the Service or Analysis Results without authorization for investment advisory, investment management, financial instruments business, trading recommendations, investment solicitation, client advice, redistribution to third parties, or any other purpose requiring regulatory registration, a license, permission, or contractual authority.
  10. Violating any license, terms of use, storage restriction, redistribution restriction, or attribution requirement imposed by a data provider.
  11. Acquiring, accumulating, reproducing, selling, redistributing, or providing to third parties any third-party data displayed through the Service, or any substantial substitute for such data, in a manner not permitted by the Company or the applicable rights holder.
  12. Transmitting harmful programs, malware, malicious code, excessive requests, vulnerability attacks, or otherwise compromising the security or normal operation of the Service.

  2. The Company does not warrant the accuracy, completeness, currency, usefulness, suitability, reproducibility, continuity, causality, predictive ability, fitness for a particular purpose, investment performance, profits, avoidance of loss, or any other outcome of Analysis Results.
  3. Analysis Results may vary depending on the data used, revisions or updates to data, analysis period, analytical methods, settings, sample size, External Service specifications, system state, and other circumstances.
  4. Subject to these Terms and the Data Policy, Users may use Analysis Results for internal research, verification, and decision-making by the User personally or within the corporation or other organization to which the User belongs. However, if a data provider or other third party imposes additional restrictions, those restrictions shall prevail.
  5. Except where expressly permitted by the Company, Users may not sell, redistribute, provide, publish, reproduce, transmit, incorporate into an external service or product, or otherwise make commercial use, for or in connection with third parties, of any data, Analysis Results, statistics, charts, reports, explanatory information, screen displays, or other outputs obtained, displayed, or generated through the Service for clients, business partners, investors, members, subscribers, or other third parties.
  6. A User wishing to provide such materials to a third party, publish them externally, or make commercial use of them must contact the Company in advance and either enter into a separate agreement with the Company or obtain the Company's express permission in writing or by electronic means accepted by the Company.
  7. In connection with any permission or agreement under the preceding paragraph, the Company may establish conditions concerning scope of use, duration, recipients, display method, prohibited conduct, fees, requirements of external data providers, attribution, disclaimers, and other matters the Company considers necessary.
  8. Nothing in this Article grants the Company exclusive ownership of information for which the User independently holds legitimate rights, or of the User's own original opinions, interpretations, or knowledge. However, the preceding paragraphs apply where such use substantially reproduces, republishes, or redistributes outputs of the Service or third-party data.
  9. Data originating from external data sources remains subject to the terms of use, storage restrictions, redistribution restrictions, attribution requirements, copyright, license conditions, and other restrictions imposed by the applicable data provider, exchange, third-party provider, or other rights holder, and such restrictions shall prevail.

Article 10 (Public Research)

  1. Public Research is public information prepared by the Company based on data, analysis periods, analytical conditions, and other assumptions selected by the Company. It does not constitute advice, a recommendation, or an individualized Analysis Result for any particular User.
  2. Public Research is based on data and analytical conditions available at the time of preparation or publication and may differ from current Analysis Results due to subsequent data revisions, market changes, specification changes, or other circumstances.
  3. The Company may revise, unpublish, withdraw, or replace all or part of Public Research where the Company considers it necessary for reasons including accuracy, rights, or analytical methodology.
  4. Use of text, structure, charts, and other content included in Public Research is subject to these Terms, any additional conditions separately displayed by the Company, and applicable conditions governing third-party data.

Article 11 (Intellectual Property Rights)

  1. All rights in and to the Service, including the software, screens, designs, logos, trademarks, text, images, structure, databases, programs, analytical logic, know-how, and other content and technology relating to the Service, belong to the Company or their respective legitimate rights holders.
  2. Permission to use the Service under these Terms does not grant Users any right to assign, transfer, sublicense, or otherwise dispose of any rights in the Service, the Company's intellectual property, or third-party data.
  3. Users may not, without the Company's prior written permission or permission by electronic means accepted by the Company, reproduce, republish, modify, adapt, sell, distribute, publish, reuse, sublicense, or commercially use the Service or content included in the Service, except where permitted by law or separately authorized by the Company.

Article 12 (Changes, Suspension, and Termination of the Service)

  1. The Company may, at its discretion, change, add, or discontinue all or part of the Service, including its contents, functions, analytical methods, specifications, fees, plans, usage limits, conditions of use, supported Data Series, supported data, External Services, screen structure, or method of provision.
  2. The Company may temporarily interrupt or suspend all or part of the Service in any of the following circumstances:
    1. Maintenance, inspection, updates, or troubleshooting of systems, servers, networks, databases, storage, or other equipment is required.
    2. An External Service, data provider, payment service provider, authentication service, or telecommunications provider experiences an outage, suspension, specification change, restriction, or termination of service.
    3. Changes to conditions of use, licenses, contracts, or rights relating to external data make continued provision under the previous conditions difficult.
    4. A natural disaster, power outage, communications failure, war, riot, epidemic, legal or regulatory change, government action, or other event beyond the Company's reasonable control occurs.
    5. Suspension is necessary to address unauthorized access, security risk, excessive load, data protection, legal compliance, or other requirements for safe operation of the Service.
    6. The Company otherwise reasonably determines that provision of the Service has become difficult or inappropriate.
  3. The Company will endeavor to provide prior notice, but may change, suspend, discontinue, or terminate the Service without prior notice in an emergency or where prior notice is impracticable.

Article 13 (Restrictions on Use and Termination)

  1. If the Company determines that a User falls under any of the following, the Company may, without prior notice, suspend use of the Service, restrict access, suspend the Account, terminate the contract, or take other necessary measures:
    1. The User violates these Terms or any individual conditions.
    2. Registration information or usage information is false, inaccurate, or incomplete.
    3. The User fails to pay fees, payment cannot be processed, a chargeback occurs, or another contractual payment issue arises.
    4. Account sharing, unauthorized access, circumvention of usage limits, violation of External Service terms, or other unauthorized use is suspected.
    5. The User may cause loss or disadvantage to the Company, another User, an External Service provider, a data provider, or another third party.
    6. The User has not used the Service for an extended period.
    7. The Company determines that the User is, or is involved with, an Anti-Social Force as described in Article 18.
    8. The Company otherwise reasonably determines that continued use of the Service is inappropriate.
  2. Measures under the preceding paragraph may result in all or part of the User's Analysis Results, analysis history, saved status, or other information becoming unavailable.
  3. The Company shall not be liable for any damage incurred by a User as a result of measures taken by the Company under this Article, except where caused by the Company's willful misconduct or gross negligence.

Article 14 (Disclaimer of Warranties)

  1. The Company makes no warranty that the Service is free from factual or legal defects, or as to its accuracy, completeness, currency, usefulness, reliability, security, continuity, fitness for a particular purpose, achievement of expected results, absence of errors or failures, or preservation of information.
  2. The Company does not warrant the accuracy, completeness, currency, legality, rights clearance, availability, or fitness for a particular purpose of external data, third-party data, Analysis Results, Public Research, External Services, linked websites, or other third-party information obtained, displayed, stored, or analyzed through the Service.
  3. Statistical association, temporal lead-lag relationships, predictive usefulness, or other findings produced by the Service do not guarantee that the same relationship will continue in the future, that causation exists in the real world, or that any particular outcome will occur.
  4. The Service is not a substitute for professional judgment concerning investments, trading, finance, accounting, tax, law, regulatory compliance, or other specialized matters.
  5. Users are responsible, at their own cost, for preparing and maintaining the communications environment, devices, browsers, software, security environment, and other environment necessary to use the Service.

Article 15 (Damages and Limitation of Liability)

  1. If a User violates these Terms or causes damage to the Company, another User, an External Service provider, a data provider, or any other third party in connection with use of the Service, the User shall, at the User's own responsibility and expense, compensate for or otherwise resolve such damage.
  2. If a User violates Article 8, Article 9, or any other provision of these Terms by selling, redistributing, providing to third parties, publicly disclosing, incorporating into an external service, or commercially using data, Analysis Results, statistics, charts, reports, screen displays, or other outputs obtained, displayed, or generated through the Service, the User shall compensate or indemnify the Company for damages arising from the violation and for costs, damages, penalties, investigation expenses, response expenses, and reasonable attorneys' fees claimed against or incurred by the Company in connection with external data providers, exchanges, third-party providers, or other rights holders.
  3. If a User provides Analysis Results or other outputs to third parties, publicly discloses them, redistributes them, or commercially uses them without the Company's express permission or a separate agreement, the Company may claim, as part of its damages, an amount equivalent to the usage fee or license fee that the Company would ordinarily have received for comparable authorized use, taking into account the manner, duration, scope, recipients, public reach, types of data involved, and other circumstances.
  4. The Company shall not be liable for damages incurred by Users in connection with the Service except where caused by the Company's willful misconduct or gross negligence.
  5. Even where the Company is liable, its liability shall be limited to ordinary and direct damages. The Company shall not be liable for lost profits, loss of business opportunities, loss of data, reputational damage, indirect damages, special damages, incidental damages, or consequential damages, except to the extent such limitation is not permitted by law.
  6. To the extent permitted by law, the amount of damages for which the Company may be liable shall not exceed the total amount of Service fees actually paid by the User to the Company during the one-month period immediately preceding the month in which the damage occurred. To the extent permitted by law, the Company shall have no monetary liability to Users using the Service free of charge.
  7. The preceding paragraph does not limit any liability or indemnification obligation owed by a User to the Company under Paragraphs 1 through 3 of this Article.
  8. This Article shall not apply to the extent any provision is invalid or restricted under the Consumer Contract Act of Japan or any other applicable law.

Article 16 (Changes to These Terms)

  1. The Company may amend these Terms in any of the following circumstances:
    1. The amendment is in the general interests of Users.
    2. The amendment is not contrary to the purpose of the Service and is reasonable in light of the necessity of the amendment, the appropriateness of the amended provisions, and other relevant circumstances.
    3. An amendment is necessary due to laws or regulations, requests from administrative authorities, changes to External Service specifications, changes in data-provider conditions, security measures, functional changes, pricing changes, or other reasons.
  2. When amending these Terms, the Company will notify or announce the amended contents and the effective date by posting them on the Service or the Company's website, by email, or by another method the Company considers appropriate.
  3. If a User uses the Service on or after the effective date of amended Terms, the User shall be deemed to have agreed to the amended Terms.
  4. For material changes, the Company will make reasonable efforts to enable Users to review the substance of the changes.

  2. Users shall not provide benefits to, lend their name to, use, cooperate with, become involved with, or otherwise engage in conduct equivalent to the foregoing with Anti-Social Forces.
  3. If the Company determines that a User has violated this Article, the Company may suspend use of the Service, terminate the contract, or take other necessary measures without prior notice.

Article 19 (Notices and Communications)

  1. Notices from the Company to Users may be provided by posting on the Service, posting on the Company's website, email, in-app notification, or another method the Company considers appropriate.
  2. Users shall contact the Company through the inquiry form or other contact method designated by the Company.
  3. If a notice does not reach a User because the email address or other contact information registered by the User was incorrect, changed, or unable to receive the notice, the notice shall nevertheless be deemed to have been received at the time it would ordinarily have been received, provided that the Company sent it in the ordinary manner.

Article 20 (Prohibition on Assignment)

  1. Users may not, without the Company's prior written permission or permission by electronic means accepted by the Company, assign, transfer, transfer by succession, pledge, or otherwise dispose of their status under these Terms or any rights or obligations arising under these Terms to any third party.
